Smartsheet University Terms and Conditions
The following terms and conditions (“Terms”) govern a Customer’s (or a User authorized by Customer) access to or use of Smartsheet University, Live Pass, Learning & Certification Pass, All Access, vILT (virtual instructor led training), Smartsheet eLearning (self-paced), and/or other learning services or products (collectively, “Learning Services”) provided or controlled by Smartsheet Inc. (“Smartsheet”). Capitalized terms not defined below have the meaning given in the agreement between Smartsheet and Customer that governs Customer’s access to and use of the online Services ("Agreement").
1. Learning Services.
1.1 Right to Access and Use. Subject to the Terms, and Customer’s payment of all applicable fees specified in any Order or SOW, Smartsheet hereby grants Customer a worldwide, non-exclusive, non-transferable right to access and use Smartsheet’s Learning Services during the applicable Term (“the Learning Term”) solely for Customer’s internal training and educational purposes and in accordance with the Documentation.
1.2 Account Creation. Customer must provide Smartsheet in advance with the email address associated with each applicable User account in order to register such Users for Learning Services. Failure to provide the correct email address will result in Smartsheet’s inability to provision access to the Learning Services to Customer.
1.3 Restrictions. Customer shall not permit a set of login credentials for Learning Services to be used by more than one User and shall not commercially sell, resell, license, sublicense, distribute, or frame the Learning Services to a third party. Customer shall access and use the Learning Services in compliance with these Terms, the Documentation, the Agreement, and applicable laws and regulations, and shall promptly notify Smartsheet of any known or suspected unauthorized access or use.
1.4 Suspension. Smartsheet may suspend or terminate any User’s access to the Learning Services, in whole or in part, immediately upon notice if Smartsheet reasonably determines that (a) Customer or a User has violated these Terms, the Agreement, or applicable law; (b) continued access may result in material harm, fraud, or security risk; or (c) Customer fails to make a payment for the Learning Services for more than fifteen (15) days following its due date. Suspension will not relieve Customer of its payment obligations. Smartsheet may cease offering any Learning Service, course, or program in its sole discretion.
2. Processing of Customer Information.
2.1 Processing Personal Information. In connection with the Learning Services, Customer will provide, or Smartsheet may collect, information which may be considered personal information under applicable data protection laws. Smartsheet, as data controller, may process such personal information collected directly from individual Users as described in Smartsheet’s Privacy Notice.
2.2 Consent to Electronic Communications. By registering for the Learning Services, Customer authorizes Smartsheet to send (including via email or by phone) information regarding the Learning Services, such as (a) notices about use of the Learning Services, including, if applicable, notices of violation of use; (b) updates and service announcements related to the Learning Services; and (c) Event (as defined below) related information or updates.
2.3 Recordings. Smartsheet may (directly or through the use of third parties) take photographs and/or make recordings when providing a live (either in-person or vILT) Learning Service (in each instance an “Event”). By attending an Event, you consent to Smartsheet’s use of these recordings (which may include your voice and/or likeness), without payment of any kind, for any purpose, which may include use in our marketing materials and publications, and for our internal business purposes.
2.4 Use of Third Parties. Smartsheet may engage third parties to act on Smartsheet’s behalf in connection with Smartsheet’s provision of the Learning Services provided that: (a) such third parties are subject to applicable confidentiality and data security obligations that are substantially as protective as those set forth in the Agreement; and (b) Smartsheet is responsible for such third parties’ acts and omissions in relation to Smartsheet’s obligations under the Agreement.
3. Disclaimer.
THE LEARNING SERVICES, INCLUDING ALL CONTENT AND MATERIALS, ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE EXTENT PERMITTED BY LAW, SMARTSHEET DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURANCY, AND SMARTSHEET DOES NOT WARRANT THAT THE LEARNING SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT ERRORS WILL BE CORRECTED, OR THAT ANY CERTIFICATION OR OUTCOME WILL BE ACHIEVED.
4. Limitation of Liability.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SMARTSHEET, ITS AFFILIATES AND SUBSIDIARIES, AND THEIR RESPECTIVE SUCCESSORS, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS OR, IF APPLICABLE, A THIRD PARTY UTILIZED BY SMARTSHEET TO HOST AN EVENT (E.G., A VENUE), BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, SPECIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO THE LEARNING SERVICES, INCLUDING DAMAGES OF ANY NATURE CUSTOMER MAY SUSTAIN DURING AN EVENT, OR FOR LOSS OF OR DAMAGE TO PERSONAL PROPERTY. THIS EXCLUSION WILL APPLY REGARDLESS OF THE LEGAL THEORY UPON WHICH ANY CLAIM FOR SUCH DAMAGES IS BASED, EVEN IF THE PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
5. Refunds.
Fees for the Learning Services are as set forth in the applicable Order or SOW and are non-cancellable and non-refundable except as expressly provided in these Terms. Fees exclude taxes. There are no refunds on Learning Services or an Event. If you are not able to attend an Event for which you have registered, you must notify smartu@smartsheet.com in advance to re-register for a future Event of the same course or similar, subject to availability and rebooking deadlines communicated by Smartsheet. If you have made a purchase in error, and have not consumed any of the training nor attempted a certification, please notify smartu@smartsheet.com within three (3) business days to receive a refund.
6. Changes to Learning Services.
Smartsheet may make changes to the Learning Services, including course content, schedules, instructors, and delivery methods in Smartsheet’s sole discretion.
7. Promotion Codes.
All promotion codes are valid for the period stated by Smartsheet at the time of issuance, or if not stated, thirty (30) days from issuance. Promotion codes are non-transferable, may not be combined, are void where prohibited. Smartsheet may modify or cancel promotion codes at any time.
8. Event Safety / Your Conduct.
The safety and security of all Event attendees is very important to us. By attending, you agree to abide by: any standards of behavior made available to you by Smartsheet; all rules provided by the relevant venue; and all applicable fire, safety, and health regulations (collectively, “Rules”). If you act in violation of the Rules or in an unsafe or careless manner at any time during the Event (“Prohibited Conduct”): (1) Smartsheet may remove you from the Event without liability to you and you will not receive any refund; and (2) you agree to defend, indemnify, and hold harmless Smartsheet, the venue, and their respective employees, officers, directors, and agents against all third-party claims, losses, or damages to persons or property, governmental charges or fines, and costs (including reasonable attorney's fees) arising out of the Prohibited Conduct.
9. Revisions.
Smartsheet reserves the right to revise this Agreement during the Term by publishing a revised version on the Site (“Updated Agreement”). After the date of publication, Customer’s continued use of the Services will constitute acceptance of the Updated Agreement unless Customer provides written notice to Smartsheet of Customer’s objection to the Updated Agreement within five (5) days of such publication date, in which case the Updated Agreement will apply at the start of the next Learning Term.
